Terms & Conditions for StarLight Structures, LLC
1. StarLight Structures and Underhill Pavilion Products
StarLight Structures is an independently owned and operated business.
StarLight Structures acquired the rights to manufacture and offer Underhill Pavilion products. StarLight Structures did not purchase or acquire the former business that previously manufactured, sold, serviced, or otherwise conducted business involving Underhill Pavilions.
StarLight Structures is not a continuation or successor of that former business and does not assume responsibility or liability for prior transactions, contracts, deposits, warranties, representations, workmanship, customer-service matters, debts, obligations, commitments, or other business practices associated with prior ownership or operations.
Any purchase, contract, warranty, deposit, agreement, or other obligation entered into with a previous owner or business is not an obligation of StarLight Structures unless StarLight Structures expressly agrees to assume that obligation in writing.
Products currently manufactured or sold by StarLight Structures are produced under the management, workmanship standards, policies, and customer-service practices of StarLight Structures.
2. Products and Custom Work
StarLight Structures manufactures and sells historical, festival, Renaissance, nomadic-style, and specialty structures, including Underhill Pavilion products.
Because many of our products are handcrafted or custom manufactured, variations may naturally occur.
Product photographs, drawings, renderings, fabric samples, and website images are intended to represent our products as accurately as reasonably possible. Colors may appear differently depending on lighting, photography, screen settings, dye lots, fabric availability, and manufacturing conditions.
Minor variations that do not materially affect the structure's intended function are not considered defects.
3. Custom Orders and Customer Approval
Custom orders may include selections or specifications such as:
-
Pavilion or tent dimensions
-
Design or configuration
-
Fabric
-
Colors and color placement
-
Wall configuration
-
Hardware
-
Accessories
-
Special modifications
-
Delivery or shipping arrangements
Customers are responsible for reviewing all specifications provided in an estimate, proposal, invoice, design, drawing, or order confirmation.
When StarLight Structures requests design approval, production may not begin until approval is received.
Once a Customer approves the specifications or design, the Customer is responsible for the accuracy of those approved selections.
Changes requested after approval or after production has begun may result in additional charges and may extend the estimated completion date.
StarLight Structures reserves the right to decline a requested modification when we believe it may compromise the safety, integrity, durability, or proper function of the structure.
4. Pricing, Quotes and Estimates
Prices are subject to change until an order is confirmed and any required deposit has been received.
Quotes and estimates are valid for the period stated on the quote. If no expiration date is provided, StarLight Structures may revise pricing before an order is accepted due to changes in material costs, availability, shipping expenses, taxes, or the scope of requested work.
Custom quotations apply only to the specifications included in that quotation.
Changes to dimensions, materials, colors, accessories, design, shipping, delivery, or other specifications may result in a revised price.
Applicable taxes, shipping, freight, delivery, or other charges may be added unless expressly included in the quoted price.
5. Deposits and Payment
Custom orders may require a deposit before materials are purchased or production begins.
The required deposit and payment schedule will be stated on the Customer's estimate, proposal, invoice, or sales agreement.
Once StarLight Structures has purchased materials, ordered custom materials, allocated materials to the project, or begun fabrication, deposits and payments associated with those costs may become non-refundable.
Unless otherwise agreed to in writing, all outstanding balances must be paid in full before a completed structure is shipped, released for pickup, or delivered to the Customer.
Failure to make required payments may result in suspension of production, delayed delivery, storage charges, cancellation of the order, or other reasonable action necessary to recover amounts owed.
6. Cancellations and Custom Products
Ready-made products that have not been modified may be subject to separate return or cancellation terms stated at the time of purchase.
Custom-made, made-to-order, modified, personalized, or specially manufactured products are generally not returnable once production has begun.
If a Customer requests cancellation of a custom order, StarLight Structures will determine what portion, if any, of payments may be refunded after accounting for work already performed, materials purchased or committed, non-refundable supplier expenses, administrative costs, and other expenses incurred for the order.
StarLight Structures will make reasonable efforts to communicate with Customers regarding cancellation requests, but acceptance of a cancellation is not guaranteed once custom production has begun.
7. Production and Completion Times
Production and completion dates provided by StarLight Structures are estimates unless a specific date is expressly guaranteed in a written agreement signed by StarLight Structures.
Handcrafted and custom manufacturing may be affected by circumstances outside our reasonable control, including material availability, supplier delays, shipping delays, equipment issues, severe weather, emergencies, transportation interruptions, and other unforeseen circumstances.
We will make reasonable efforts to communicate significant delays.
StarLight Structures is not responsible for losses, event fees, lost revenue, lost profits, travel expenses, vendor fees, or other consequential expenses arising from a production or delivery delay unless StarLight Structures expressly accepted such responsibility in a separate written agreement.
8. Shipping, Freight, Delivery and Pickup
Shipping and delivery arrangements vary depending on the size, weight, destination, and configuration of the order. StarLight Structures goal is to make this as affordable as possible for you.
Shipping or freight charges may be estimated separately from the product price.
Customers are responsible for providing an accurate delivery address and any information reasonably necessary to complete delivery.
The Customer should inspect packages and products promptly upon receipt.
Visible shipping damage should be photographed before packaging is discarded. When possible, damage should also be noted with the carrier at delivery.
Customers should contact StarLight Structures promptly if an order arrives damaged or appears incomplete so we can assist in determining an appropriate resolution and, when applicable, work with the shipping carrier.
Damage occurring during transportation will be addressed according to the applicable carrier's terms, insurance coverage, shipping arrangement, and circumstances of the shipment.
9. Installation, Setup, Anchoring and Use
Tents and pavilions must be properly assembled, anchored, maintained, and used according to their design and the conditions in which they are installed.
Unless StarLight Structures has specifically contracted to provide installation or setup, the Customer is responsible for proper assembly, placement, staking, anchoring, tensioning, and ongoing inspection of the structure.
Customers are responsible for determining whether the ground, site, weather conditions, event rules, and local requirements are appropriate for installation and use.
Tents and pavilions are outdoor structures and can be affected by wind, rain, storms, snow, ground conditions, improper anchoring, misuse, and other environmental conditions.
The Customer is responsible for monitoring weather and site conditions and taking reasonable precautions, including dismantling or securing a structure when conditions make continued use unsafe.
10. Fire-Retardant Materials and Certifications
When a product is represented as using fire-retardant or fire-resistant material, StarLight Structures will provide available certification or documentation applicable to that material when such documentation is included with the product.
Fire-retardant treatment or certification does not make fabric fireproof.
Requirements for tents, pavilions, temporary structures, and fabrics may vary by event, venue, municipality, county, state, fire marshal, or other authority.
The Customer is responsible for determining whether a particular product, material, certification, configuration, or installation meets the requirements of the Customer's intended venue or jurisdiction.
11. Care and Maintenance
Proper care is important to the lifespan of a tent or pavilion.
Customers are responsible for reasonable maintenance, including appropriate cleaning, drying, storage, inspection, and repair.
Fabric should not be stored while wet or excessively damp. Improper storage can result in mildew, staining, deterioration, odor, or other damage.
Damage caused by improper cleaning, storage, assembly, maintenance, alteration, misuse, or environmental exposure is not considered a manufacturing defect.
12. Workmanship and Warranty Claims
StarLight Structures stands behind the workmanship of products it manufactures.
If a Customer believes a product contains a defect in workmanship attributable to StarLight Structures, the Customer should contact us promptly and provide photographs and a description of the concern.
StarLight Structures will evaluate the issue and determine an appropriate remedy based on the circumstances. Depending on the nature of the issue, a remedy may include repair, replacement of an affected component, or another reasonable resolution.
Normal wear and tear, accidental damage, misuse, improper installation, improper anchoring, modifications made by others, neglect, weather damage, mold or mildew caused by improper storage, damage caused by animals, and damage resulting from conditions beyond the intended use of the product are not considered defects in StarLight Structures' workmanship.
Any additional written warranty provided with a particular product will supplement this section.
13. Repairs and Alterations
StarLight Structures may offer repair, alteration, or modification services for certain tents, pavilions, or related products.
Repair estimates are based on the condition reasonably observable when the estimate is prepared. Additional damage or conditions discovered during repair may require additional work and charges.
StarLight Structures will make reasonable efforts to obtain Customer approval before performing significant work outside the agreed repair scope.
Repairing or modifying an older or previously manufactured structure does not mean StarLight Structures assumes responsibility for the structure's original manufacture, design, prior repairs, previous workmanship, or existing condition.
This is particularly important for Underhill Pavilion® structures manufactured before StarLight Structures acquired the rights to manufacture Underhill Pavilion® products.
14. Customer Modifications
StarLight Structures is not responsible for damage, structural problems, or performance issues resulting from modifications, alterations, repairs, accessories, hardware, or installation performed by the Customer or another party after delivery.
Customers who are unsure whether a proposed modification could affect their structure are encouraged to contact StarLight Structures before making the modification.
15. Limitation of Liability
To the fullest extent permitted by applicable law, StarLight Structures will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from the purchase, possession, installation, transportation, storage, use, or inability to use a product.
This includes, where permitted by law, lost profits, lost sales, missed events, vendor fees, travel expenses, business interruption, loss of merchandise, or damage to property stored or displayed within a tent or pavilion.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
16. Customer Property
StarLight Structures is not responsible for a Customer's merchandise, inventory, displays, furniture, equipment, personal property, or other items placed inside, underneath, attached to, or near a tent or pavilion except to the extent responsibility is expressly accepted in a separate written agreement.
Customers and commercial vendors are responsible for maintaining any business, property, event, or liability insurance appropriate for their activities.
17. Intellectual Property and Designs
Names, logos, photographs, product descriptions, original designs, drawings, patterns, website materials, and other intellectual property belonging to StarLight Structures or used by StarLight Structures under valid ownership or authorization may not be reproduced, copied, commercially manufactured, distributed, or represented as another party's work without permission.
The purchase of a physical pavilion, tent, component, or other product does not automatically transfer intellectual-property or manufacturing rights associated with that product or design.
Underhill Pavilion® rights held by StarLight Structures remain separate from ownership of an individual physical pavilion purchased by a Customer.
18. Website Information
StarLight Structures makes reasonable efforts to keep product descriptions, photographs, dimensions, availability, and pricing accurate.
Occasional errors may occur.
If an obvious pricing, specification, or listing error is discovered before fulfillment, StarLight Structures reserves the right to correct the error and contact the Customer regarding the order.
We will not intentionally substitute materially different custom specifications without Customer approval.
19. Communication
Customers are responsible for providing accurate contact information and responding to communications reasonably necessary to complete their order.
Production may be delayed when StarLight Structures is awaiting Customer decisions, design approvals, measurements, payment, shipping information, or other required information.
20. Governing Law
These Terms and transactions with StarLight Structures are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles, except where applicable federal law or other mandatory law provides otherwise.
Any dispute concerning a transaction with StarLight Structures will be handled in accordance with applicable law and any additional dispute-resolution provisions contained in the Customer's individual sales agreement, invoice, or contract.
21. Changes to These Terms
StarLight Structures may update these Terms from time to time.
The Terms applicable to a particular transaction will generally be the Terms in effect when the Customer enters into that transaction, unless the parties agree otherwise in writing.
Changes to website Terms will not retroactively alter an existing signed contract or completed transaction unless required by law or agreed to by the parties.
22. Entire Agreement and Written Agreements
These Terms may be supplemented by an estimate, proposal, invoice, custom-order agreement, rental agreement, repair agreement, or other written agreement between StarLight Structures and the Customer.
If a separately signed written agreement contains terms that directly conflict with these general Terms, the terms of the specifically negotiated written agreement will control for that transaction to the extent of the conflict.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
24. Payment Methods
